CYBERNOX LLC - Terms of Service

This Terms of Service Agreement ("Agreement") is a legally binding agreement between you (either an individual or a single entity) and CYBERNOX LLC ("Company," "we," "us," or "our") governing your use of the CYBERNOX Digital Ecosystem applications and services (collectively, the "Services"). BY USING THE SERVICES IN ANY MANNER, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, YOU MAY NOT USE THE SERVICES.

1. Eligibility and Scope

You must be at least 18 years of age to use the Services. By agreeing to this Agreement, you represent and warrant to us that: (a) you are at least 18 years of age; (b) you have not previously been suspended or removed from the Services; and (c) your use of the Services is in compliance with all applicable laws and regulations.

2. Free Access to Digital Ecosystem

The CYBERNOX Digital Ecosystem applications are provided free of charge. No subscription fees, usage limits, or payment obligations apply to the ecosystem applications. Access is provided through web browser technology without requiring downloads, installations, or account creation.

3. User Data and Privacy

The Services store your data locally on your device through your browser's storage capabilities. CYBERNOX does not access, collect, transmit, or store any of your application usage data on our servers. Your data remains on your device only and under your complete control at all times.

Please note that because data is stored locally on each device:

- Your information will not sync between different devices

- You will need to separately set up each device you use

- Your information remains private and inaccessible to CYBERNOX

- No CYBERNOX employee or representative can access your application data

4. Acceptable Use

You agree not to use the Services for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Services. You further agree not to use the Services to: (a) upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable; (b) impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; or (c) upload, post, transmit, or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships.

5. Intellectual Property

The Services and their original content, features, and functionality are owned by CYBERNOX and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You agree not to copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services except as necessary to use the Services for their intended purpose.

6. Professional Services

While the Digital Ecosystem is provided free of charge, CYBERNOX LLC offers separate professional services including but not limited to: enterprise cybersecurity solutions, custom software development, municipal software systems, and consulting services. These professional services are subject to separate agreements and pricing structures.

7. Termination

We may terminate or suspend your access to the Services at any time, without cause or notice. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimer of Warranties

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL CYBERNOX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF CYBERNOX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold harmless CYBERNOX, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of the Services.

11. Governing Law

This Agreement and your use of the Services shall be governed by and construed in accordance with the laws of the State of Mississippi, without resort to its conflict of law provisions. Any legal action or proceeding relating to this Agreement shall be instituted exclusively in the federal or state courts of Mississippi.

12. Changes to Agreement

We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. Your continued use of the Services following the posting of any changes to this Agreement constitutes acceptance of those changes.

a. Device-Only Storage: All data you create or generate while using our applications is stored locally on your device through your browser's storage capabilities.

c. Complete User Control: You maintain complete control over your data at all times.

d. No Cross-Device Synchronization: Information will not automatically transfer between your devices, ensuring maximum privacy.

3. Professional Services Contact

For our separate professional services (enterprise cybersecurity, custom software development, municipal systems), we may collect basic business contact information only when you specifically request these services. This information is stored securely offline and used solely for business communication purposes.

4. Third-Party Services

Our ecosystem applications may utilize third-party APIs for specific functionalities (such as weather data or image generation).
