CYBERNOX LLC - Terms of Service

This Terms of Service Agreement ("Agreement") is a legally binding agreement between you (either an individual or a single entity) and CYBERNOX LLC ("Company," "we," "us," or "our") governing your use of the CYBERNOX applications, websites, and services (collectively, the "Services"). BY USING THE SERVICES IN ANY MANNER, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, YOU MAY NOT USE THE SERVICES.

1. Eligibility and Scope

You must be at least 18 years of age to use the Services. By agreeing to this Agreement, you represent and warrant to us that: (a) you are at least 18 years of age; (b) you have not previously been suspended or removed from the Services; and (c) your registration and your use of the Services is in compliance with all applicable laws and regulations.

2. Account Registration and Custom URLs

To access the Services, you must register for an account. As part of the registration process, you will be assigned a custom URL. This URL is for your individual use or for use within a single business entity. You agree not to share, distribute, or otherwise disseminate this URL to any third party. If you wish to share your URL beyond these parameters, you must obtain express written approval from CYBERNOX.

3. Fees and Billing

Access to the Services is contingent upon the timely payment of subscription fees on a monthly basis, payable in advance of each monthly service period. You agree to provide CYBERNOX with accurate and complete billing information, including valid payment information, and to promptly update any changes to this information.

Failure to pay subscription fees when due will result in the immediate suspension of your access to the Services. CYBERNOX shall not be responsible for any loss or corruption of your data in the event of a service suspension due to non-payment.

If you anticipate a delay in payment, you may contact CYBERNOX to request a temporary extension of service. The granting of any such extension shall be at CYBERNOX's sole discretion.

CYBERNOX does not provide refunds for any subscription fees paid.

4. User Data

The Services may employ local storage mechanisms on your device for data handling. CYBERNOX does not access, collect, transmit, or store any of your data. You acknowledge and agree that CYBERNOX shall not be responsible or liable for the deletion, correction, destruction, damage, loss, or failure to store any of your data.

5. Acceptable Use

You agree not to use the Services for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Services. You further agree not to use the Services to: (a) upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable; (b) impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; or (c) upload, post, transmit, or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships.

6. Intellectual Property

The Services and their original content, features, and functionality are owned by CYBERNOX and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You agree not to copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services except as necessary to use the Services for their intended purpose.

7. Termination

We may terminate or suspend your access to the Services at any time, without cause or notice, which may result in the forfeiture and destruction of all information associated with your account. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimer of Warranties

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL CYBERNOX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF CYBERNOX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold harmless CYBERNOX, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of the Services.

11. Governing Law

This Agreement and your use of the Services shall be governed by and construed in accordance with the laws of the State of Mississippi, without resort to its conflict of law provisions. Any legal action or proceeding relating to this Agreement shall be instituted exclusively in the federal or state courts of Mississippi.

12. Changes to Agreement

We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. Your continued use of the Services following the posting of any changes to this Agreement constitutes acceptance of those changes.
